Terms of Service

These Terms of Service ("Terms") constitute a binding legal agreement between you ("Customer," "you," or "your") and ABC Printing Inc., a California corporation doing business as ABC Printing ("ABC Printing," "Company," "we," "us," or "our"). These Terms govern your access to and use of the website located at goabcprint.com (the "Site"), including all services, features, content, and functionality offered through the Site (collectively, the "Services").

By accessing the Site, creating an account, placing an order, submitting a quote request, uploading files, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Site or Services.

These Terms also incorporate our Website Use License Agreement, which governs the limited license under which you access and use the Site and its features.

1. Eligibility

The Services are available only to individuals who are at least 18 years of age and capable of forming legally binding contracts under applicable law. By using the Site, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.

Certain features of the Site, including placing orders, viewing order history, and managing quote requests, require you to create an account. You may register using an email magic link (passwordless login) or through third-party OAuth providers (currently Google and X). By registering, you agree to the following:

3. Products, Pricing, and Descriptions

3.1 Product Descriptions

We make reasonable efforts to accurately describe and depict our products on the Site, including specifications such as paper stock, size, quantity, and finishing options. However, product descriptions, images, and samples are provided for general reference only. Actual printed output may vary from on-screen representations due to differences in monitors, color profiles, paper characteristics, and standard printing processes.

3.2 Pricing

All prices displayed on the Site are in U.S. dollars (USD). Prices are subject to change without notice and may be corrected at any time if errors are discovered, including after an order has been submitted. In the event of a pricing error, we will notify you and give you the option to proceed at the corrected price or cancel the order. We are not obligated to honor obviously erroneous prices.

3.3 Taxes

Applicable sales tax will be calculated and added to your order at checkout. As a California-based business, we collect California sales tax as required by law. Tax rates are determined based on the applicable jurisdiction and may change as required by law.

The Site allows you to submit requests for price quotes on custom printing projects. A quote request is not an order and does not create a binding obligation on either party. Quote requests are subject to the following terms:

5.1 Order Placement

When you place an order through the Site, you are making an offer to purchase the specified products at the stated price plus applicable taxes. Submission of an order does not guarantee acceptance. An order is considered accepted only when we process payment and begin production.

We reserve the right to refuse, cancel, or limit any order at our sole discretion, including but not limited to situations where:

5.3 Accuracy of Order Details

You are solely responsible for the accuracy of all information submitted with your order, including product specifications, quantities, artwork files, text content, spelling, contact information, and shipping or pickup preferences. We are not responsible for errors resulting from inaccurate or incomplete information provided by you.

All payments are processed securely through Stripe, our third-party payment processor. By submitting payment, you authorize ABC Printing and Stripe to charge the payment method you provide for the total order amount, including applicable taxes. You agree to the following:

7. Customer-Submitted Files and Content

7.1 File Uploads

The Site allows you to upload artwork, images, documents, and other files ("Customer Content") in connection with orders and quote requests. Accepted file formats include JPG, PNG, GIF, WebP, PDF, AI, PSD, EPS, and TIFF. Individual files may not exceed 20 MB. We reserve the right to reject files that exceed size limits, are in unsupported formats, or appear corrupt or unreadable.

7.2 Customer Responsibility for Content

You are solely responsible for the accuracy, quality, legality, and print-readiness of all Customer Content. This includes, without limitation:

Unless we have expressly agreed in writing to provide prepress review, design services, or proofing as part of your order, we are not responsible for reviewing, correcting, or verifying the accuracy or suitability of Customer Content before production.

7.3 Intellectual Property Representations

By uploading Customer Content, you represent and warrant that:

You retain ownership of your Customer Content. By uploading Customer Content to the Site, you grant ABC Printing a limited, non-exclusive, royalty-free license to store, process, reproduce, and use the content solely as necessary to fulfill your orders, provide the Services, and operate our business. This license terminates when your content is deleted from our systems, subject to any backup or archival retention described in our Privacy Policy.

7.5 Right to Reject Content

We reserve the right to reject, refuse to print, or remove any Customer Content that, in our sole judgment, violates these Terms, infringes third-party rights, contains unlawful or harmful material, or is otherwise objectionable. We are not obligated to review Customer Content before production, but we may do so at our discretion. If we reject content after payment, we will offer a refund or the opportunity to submit substitute content.

7.6 File Storage and Retention

Uploaded files associated with completed, paid orders are stored in our systems to facilitate order fulfillment, reprints, and customer service. We do not guarantee indefinite storage of Customer Content. Files associated with incomplete orders, abandoned carts, or unpaid sessions may be deleted after 30 days without notice. We may delete or archive files associated with inactive accounts after 12 months of account inactivity. You are responsible for maintaining your own copies of all original files.

8. Proofing and Customer Approval

8.1 Proof Approval

Where a proof is provided — whether digital or physical — you are responsible for carefully reviewing the proof for accuracy, including all text, images, colors, layout, dimensions, and specifications. Your approval of a proof constitutes your authorization to proceed with production as shown. Once you approve a proof, we are not responsible for errors in the approved proof, including but not limited to spelling errors, incorrect information, missing elements, or design flaws.

8.2 Production Without Proofing

If you place an order without requesting a proof, or if proofing is not included in the selected product or service, production will proceed based on the files and specifications you submitted. In such cases, you accept full responsibility for the final printed output.

9. Print Production: Tolerances and Limitations

Commercial printing is a manufacturing process subject to inherent variability. By placing an order, you acknowledge and accept the following industry-standard tolerances:

Variations within these commercially reasonable tolerances do not constitute defects and are not grounds for reprints, refunds, or credits.

10. Turnaround Times

Turnaround times displayed on the Site are estimates based on standard production schedules and are not guaranteed unless we have expressly agreed to a specific deadline in writing. Turnaround estimates begin when all required files, approvals, and payment have been received and accepted. Estimated turnaround does not include shipping transit time.

Rush orders may be available for certain products. Rush production is not guaranteed unless expressly confirmed by us in writing and may be subject to additional charges. We are not liable for delays caused by incomplete orders, file issues requiring customer correction, shipping carrier delays, equipment malfunction, supply shortages, or force majeure events.

11. Shipping, Delivery, and Pickup

11.1 Shipping

We offer nationwide shipping via USPS and UPS. Shipping costs, if applicable, are calculated and displayed at checkout. Shipping times are estimates provided by the carrier and are not guaranteed by ABC Printing. Risk of loss and title to shipped products passes to you upon delivery to the carrier.

11.2 Local Delivery

Local delivery is available within our service area in the South Bay and surrounding Silicon Valley communities. Delivery times are estimates and may be affected by traffic, weather, or scheduling availability.

11.3 In-Store Pickup

Same-day in-store pickup is available for most products ordered before 2:00 PM (Pacific Time), Monday through Friday, subject to production capacity. You will receive a notification when your order is ready for pickup. Orders must be picked up at our location at 1090 S Milpitas Blvd, Milpitas, CA 95035 during business hours.

11.4 Unclaimed Orders

Completed orders not picked up or claimed within 30 days of the ready-for-pickup notification may be disposed of without further notice or refund. We are not responsible for storing unclaimed orders beyond this period.

11.5 Shipping Damage and Lost Packages

If your order arrives damaged or is lost in transit, please contact us within 7 business days of the expected delivery date. We will work with you and the shipping carrier to resolve the issue, which may include filing a carrier claim, reprinting, or issuing a refund at our discretion.

12. Returns, Refunds, and Reprints

12.1 Custom Products

Because printed products are custom-manufactured to your specifications, all sales of custom printed goods are final and non-returnable except in cases of verified printing defects or errors attributable to ABC Printing. This is consistent with standard industry practice for custom-manufactured goods.

12.2 Defect Claims

If you believe your order contains a printing defect or an error caused by ABC Printing (as opposed to errors in your submitted files or approved proofs), you must notify us within 7 business days of receiving the order. We will review the claim and, at our sole discretion, offer a reprint, credit, partial refund, or full refund. We may require you to return the defective product at our expense before issuing a resolution. Claims submitted after the 7-business-day window may be declined.

13.1 Our Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, page layouts, software, user interface design, and the selection and arrangement thereof, is the property of ABC Printing Inc. or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. The ABC Printing name, logo, and all related marks are trademarks of ABC Printing Inc.

13.2 Limited Use

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written consent, except as expressly permitted by these Terms or the Website Use License Agreement.

13.3 Portfolio Use

We may photograph or digitally reproduce non-confidential finished work for use in our portfolio, marketing materials, social media, or website, unless you notify us in writing at the time of ordering that your project is confidential. To opt out of portfolio use, include a written request with your order or email danny@abcprintinginc.com before production begins.

14. Prohibited Conduct

You agree not to use the Site or Services to:

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including reporting the conduct to law enforcement authorities, suspending or terminating accounts, and refusing future orders.

15. Communications

15.1 Transactional Communications

By placing an order or submitting a quote request, you consent to receive transactional communications from us related to your orders, quotes, account activity, and customer service. These communications are a necessary part of the Services and cannot be opted out of while you maintain an active order or account.

15.2 Promotional Communications

We may send you promotional or marketing emails about our products and services. You may opt out of promotional communications at any time by using the unsubscribe link in any marketing email or by contacting us directly. Opting out of promotional communications does not affect transactional communications.

16. Disclaimers of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ABC PRINTING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

YOUR USE OF THE SITE AND ANY CONTENT OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ABC PRINTING INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ABC PRINTING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

18. Indemnification

You agree to indemnify, defend, and hold harmless ABC Printing Inc., its officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

ABC Printing shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, fire, flood, earthquake, epidemic or pandemic, acts of God, war, terrorism, civil unrest, government action or regulation, labor disputes, supply chain disruptions, power outages, equipment failure, internet or telecommunications failure, or shipping carrier delays. In such events, our obligations shall be suspended for the duration of the force majeure event, and we will use commercially reasonable efforts to resume performance as soon as practicable.

20. Governing Law and Dispute Resolution

20.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of laws provisions.

20.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution in the state or federal courts located in Santa Clara County, California. You consent to the exclusive jurisdiction and venue of such courts and waive any objection to the convenience of such forum.

20.3 Waiver of Class Actions

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against ABC Printing.

21. Modification of Terms

We reserve the right to modify, amend, or replace these Terms at any time. Updated Terms will be posted on this page with a revised "Effective Date." Your continued use of the Site or Services after the posting of revised Terms constitutes your acceptance of the updated Terms. If a revision is material, we will make reasonable efforts to provide notice, such as posting a notice on the Site or sending an email to your registered email address. It is your responsibility to review these Terms periodically.

22. Termination and Suspension

We may suspend or terminate your access to the Site and Services, in whole or in part, at any time and for any reason, with or without notice, including for violation of these Terms, suspected fraud, extended inactivity, or if we discontinue the Services. Upon termination:

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

24. Entire Agreement

These Terms, together with the Privacy Policy and Website Use License Agreement, constitute the entire agreement between you and ABC Printing with respect to the use of the Site and Services, and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

25. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of ABC Printing.
